1. Acceptance of Terms

By creating an account, clicking "I agree", or by otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Service Description

nabu.watch is a website compliance monitoring platform that automatically scans registered websites to check for the presence of required legal pages (privacy policy, terms of service, cookie policy, impressum), SSL certificate validity, and other compliance indicators. Scan results and compliance reports are provided to registered users via a web dashboard and API.

The Service is provided on a subscription basis. Features available to you depend on your chosen plan. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• —Use the Service to scan websites you do not own or do not have explicit permission to scan.
• —Attempt to circumvent, disable, or interfere with security features of the Service.
• —Use automated scripts, bots, or other methods to access the Service beyond the limits of your plan's API rate limits.
• —Attempt to reverse-engineer, decompile, or extract source code from the Service.
• —Transmit any malicious code, viruses, or harmful data through the Service.
• —Use the Service to conduct denial-of-service attacks against any website or infrastructure.
• —Violate any applicable local, national, or international law or regulation.
• —Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to investigate violations and to suspend or terminate accounts that breach these acceptable use obligations.

5. Intellectual Property

Our content. The Service and its original content, features, functionality, source code, design, trademarks, and logos are and will remain the exclusive property of Nabu Watch. Nothing in these Terms grants you a right to use our trade names, trademarks, service marks, or logos without our prior written consent.

Your data. You retain full ownership of the website URLs you add and any data you provide to the Service. You grant us a limited, non-exclusive, royalty-free licence to process your data solely for the purpose of providing the Service to you. We do not claim ownership of your data.

Scan results. Compliance reports and scan results generated by the Service are provided to you for your own use. You may not resell or redistribute them as a commercial product without our written permission.

6. Payment & Subscriptions

Free tier. A free plan is available with limited features and scan quotas as described on the pricing page. The free plan is provided "as is" without any service level guarantees.

Paid plans. Paid subscriptions are billed in advance on a recurring basis (monthly or annually). All fees are exclusive of applicable taxes unless stated otherwise. You authorise us to charge your payment method on the billing date.

Refunds. Fees are non-refundable except where required by applicable law or at our sole discretion in exceptional circumstances.

Price changes. We may change prices with at least 30 days' advance notice. Continued use after the effective date constitutes acceptance of the new prices.

7. Termination

By you. You may delete your account at any time through the account settings. Termination does not entitle you to a refund of any prepaid fees. We will delete your personal data in accordance with our Privacy Policy.

By us. We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any breach of these Terms, non-payment, or if we determine that your use poses a risk to the Service, other users, or third parties. We will endeavour to provide advance notice where possible.

Upon termination all rights granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination shall survive.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Not legal advice. The compliance monitoring results and recommendations provided by the Service are informational only and do not constitute legal advice. We are not a law firm. You should consult a qualified legal professional before making compliance decisions. Nabu Watch makes no representation that your website is or will be compliant with any law or regulation based on scan results.

Accuracy. Scan results reflect the state of a website at the time of scanning and may not be accurate, complete, or current. We do not guarantee that all compliance issues will be detected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NABU WATCH, ITS DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) €100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In those jurisdictions our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless Nabu Watch and its affiliates, officers, agents, and employees from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable national law of the jurisdiction in which Nabu Watch is registered [jurisdiction placeholder — to be updated]. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction, unless mandatory consumer protection laws in your country of residence provide otherwise.

12. Changes to These Terms

We reserve the right to modify these Terms of Use at any time. When we make material changes we will notify you by email or through a notice in the application at least 14 days before the changes take effect. The "Last updated" date at the top of this page will be revised accordingly. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those Terms.
